Public offer
Terms for access to digital content at theosophymariali.com
Effective from 9 October 2026. Version: 2026-10-09-section-7.
1. Seller and scope
1.1. Фізична особа-підприємець Ліпіна Марія Миколаївна, a sole proprietor registered in Ukraine, tax identification number (RNOKPP) 3221915164 (the Seller), offers individuals purchasing materials for personal purposes (the Buyer) a contract for access to digital content on the terms of this offer and the agreed order.
1.2. The contract is governed by the Civil Code of Ukraine, the Ukrainian laws on Electronic Commerce, Consumer Protection, and Digital Content and Digital Services, and other applicable legislation. These terms do not restrict mandatory consumer rights established by law.
1.3. The Site means theosophymariali.com, including its version added to a device's home screen. A Collection is the set of e-books, audiobooks, music, podcasts, practices or meditations specified in the order. Access means the ability to read or listen to the purchased Collection through a personal account on the Site for the agreed period.
2. Materials and technical requirements
2.1. Site materials are provided in Russian unless another language is expressly stated in the description of the particular Collection or item before payment. The name, contents, main characteristics, language, price and Access period are disclosed on the Collection page and in the order before payment. A Ukrainian or English Site interface or translated description does not mean that the recordings or books themselves have been translated.
2.2. Access is provided for online reading and listening. File downloads, physical media and personal consultations are not included unless expressly agreed separately.
2.3. The Buyer needs an Internet-connected device, a browser supporting JavaScript, cookies and playback of the relevant content, and access to email for signing in or the ability to sign in through Google. Internet charges are not included in the Collection price. The Seller discloses special requirements or known compatibility restrictions before payment. The Buyer may use free materials to check how the Site works; doing so does not replace the Seller's obligations concerning conformity of the content.
2.4. When purchasing podcasts, audiobooks and other informational materials, the Buyer pays for Access to their contents for personal listening, reading and self-education. The contract concerns supply of the described digital content, not achievement of a particular outcome, a qualification or individual consultation. Terms concerning musical works are also determined by the relevant Collection description.
2.5. For spoken podcasts and other informational audio recordings, the primary value is the information they contain. Studio recording, professional mastering or particular technical audio specifications are not promised unless expressly stated in the description. However, recordings must play, speech must be intelligible, and the contents and quality must conform to the description, any supplied sample and mandatory legal requirements. Known recording characteristics are disclosed before payment; a deviation from mandatory requirements that requires separate consent cannot be agreed merely by a general reference to this offer. Corrupt files, missing audio or interference that prevents understanding speech are addressed under section 7.
3. Ordering and formation of the contract
3.1. Orders are placed on the Site: the Buyer selects a Collection, signs in or provides an email address, reviews the order terms and proceeds to payment. Clicking the button to proceed to payment does not itself confirm payment. Telegram is used for support, not to place purchases under this offer.
3.2. Before payment, the Buyer receives the Collection name and contents, final amount in Ukrainian hryvnias, payment method, procedure for opening Access and its duration, Seller details, withdrawal and refund terms, and this version of the offer in a form that can be saved. The Buyer can check and correct the order details or abandon the order before confirming payment. Order-specific details cannot restrict the Buyer's mandatory rights.
3.3. Payment for the agreed order after the above information has been provided constitutes acceptance of this offer. The contract is formed when the Seller receives confirmation of successful payment from the payment service provider or confirmation that the funds have been credited. An unsuccessful payment or temporary card authorisation hold does not constitute payment confirmation.
3.4. The Seller sends electronic confirmation of the order and contract, payment details, the agreed Access period and the applicable version of this offer. A payment document is provided as required by law. The Buyer can retain the confirmation and contract. The Seller keeps information necessary to evidence the order and its terms in accordance with the Privacy Policy and applicable law.
4. Price and payment
4.1. Payments are made in Ukrainian hryvnias. If a US dollar equivalent is displayed, it is used to calculate the hryvnia price. The Ukrainian version displays the calculated hryvnia price; other language versions may also display the dollar equivalent.
4.2. Conversion uses the latest US dollar selling rate received by the Site from the public service of JSC Universal Bank (monobank), rounded up to a whole hryvnia. Rate updates may be delayed. The Seller communicates the final amount and applied rate before payment. If the price differs from the amount previously displayed, the Buyer may abandon the order without cost. The agreed amount is recorded in the order and is not recalculated after payment.
4.3. The final price includes all applicable taxes and payments to the Seller. The Seller adds no hidden charges. Fees or currency conversion imposed by the Buyer's bank are governed by the Buyer's agreement with that bank and are not set by the Seller. The Seller's tax status is stated in section 11.
4.4. Payment is processed by monobank internet acquiring using a bank card, including Apple Pay or Google Pay where supported by the payment page, the Buyer's device and bank. The Site does not request a PIN, banking password or verification code for disclosure to the Seller; card details are entered only on the payment service provider's payment page. The Seller neither receives nor stores the full card number or CVV.
4.5. Payment is a one-off transaction. There are no automatic renewal charges. A further purchase requires a new order and payment by the Buyer.
5. Opening Access and its duration
5.1. Access is opened for the account associated with the email address specified in the order. Where necessary, an account is created to fulfil the order. The system automatically processes monobank's confirmation of successful payment and opens Access without undue delay. The Seller sends an Access notification and sign-in instructions. If automatic activation fails, the Seller checks payment and fulfils the order; technical delay does not deprive the Buyer of the rights in section 7.
5.2. The paid period starts when the Collection is actually made available for use or, for renewal of existing Access, when the previous paid period expires. Access is normally opened automatically as soon as payment is confirmed, so the period starts at the moment of payment; if opening is delayed for technical reasons, the period runs from actual opening. A day is 24 hours and a week is 7 days; months and years are calendar periods. If the corresponding day does not exist in the final month, that month's last day is used. One additional day is provided at no extra charge. The Seller states the expiry date in the Access confirmation.
5.3. Where a Collection is offered with Access of indefinite duration, there is no additional recurring charge or predetermined expiry date. Closing the Site or removing a Collection does not itself end obligations concerning paid Access. If the Site ceases operating, the Seller addresses those obligations under clause 5.5 and section 7; purchased content is not replaced with different content without the Buyer's consent.
5.4. The Buyer supplies the correct email address and protects sign-in methods: their email account, Google account, authentication links and codes. If a link or code is lost or expires, the Buyer may request a new one through the sign-in method provided on the Site. If access to email or an account is lost, the Seller helps restore Access after reasonable verification of ownership of the purchase. Evidence may include order details, a receipt, payment email or bank statement checked against the Seller's and payment provider's records; only necessary information is requested. Until ownership can be established, the Seller may withhold Access from the claimant and decline transfer to another account, explaining the reasons and acceptable evidence. This protects the purchase; it does not automatically cancel paid Access or justify withholding a refund that is due. Failure to receive an email does not itself establish non-supply: the Seller investigates the request and assists with sign-in.
5.5. The Seller may temporarily suspend the Site for necessary maintenance, fault resolution, protection against cyberattacks or compliance with a binding legal requirement, court order or competent authority's direction. Permanent closure is permitted if the Seller ceases business, cannot lawfully continue supplying content or ends technical operation of the Site, subject to resolving paid obligations. For planned closure, the Seller gives advance notice on the Site and by email to the Buyer, stating the date, reason and arrangements for the order; emergency closure is notified as soon as technically possible. Under a separate agreement, the Buyer is offered files of the purchased materials for personal storage and use, without permission to distribute them; for paid indefinite Access, this personal use is also indefinite. Files are supplied only where the necessary rights and technical ability exist, and different materials are not substituted. If the Buyer does not agree to receive the files, or supplying them is impossible, the Seller terminates the relevant contract and refunds payment under clause 7.5. Closing the Site does not stop claims being accepted at mariali@theosophymariali.com and does not justify automatically retaining all payments.
6. Personal use and restrictions
6.1. Copyright and related rights in protected Site materials are protected by the Civil Code of Ukraine, the Ukrainian Copyright and Related Rights Law and applicable international treaties. All rights are reserved to the extent established by law and belong to the author and other lawful rights holders. The Buyer receives non-exclusive permission for personal, non-commercial use within the scope of Access; economic copyright rights are not transferred. Without the rights holder's permission, recordings and texts may not be distributed, resold, posted in public or private groups, publicly played, used in paid classes or shared through an account with third parties. These restrictions do not override uses permitted by law, including lawful quotation, and do not extend copyright protection to ideas and facts themselves.
6.2. Use of protected materials beyond the granted permission, including established unlawful distribution or commercial use, breaches the contract. The Seller explains the specific grounds for restriction and gives the Buyer an opportunity to respond and stop the breach. Necessary and proportionate temporary restriction of Access with prompt notice is permitted to stop unlawful distribution immediately or protect an account. For an established material or repeated breach, the Seller may terminate the relevant Access and contract through the procedure required by law. The Buyer may challenge the decision by contacting mariali@theosophymariali.com or use the remedies in clause 10.3.
6.3. Restriction of Access for a breach does not itself give the person in breach an unconditional right to a full refund for lawfully supplied content. Equally, the entire payment does not automatically become a non-refundable penalty: mandatory refunds, accounting for the unperformed part of the contract and compensation for proven losses are determined by law. The Seller may seek an end to the breach and compensation available under the law; disputed losses are not arbitrarily deducted from a lawful refund. If the grounds for restriction are not substantiated, Access is restored and claims concerning the unavailable period are addressed under section 7.
7. Withdrawal from the contract and refunds
7.1. Withdrawal from a distance contract without giving reasons
Unless the exception in clause 7.2 applies, the Buyer may notify the Seller of withdrawal from the distance contract within 14 calendar days of receiving proper confirmation of the mandatory information about the order and the contract terms, in accordance with Article 13 of the Law of Ukraine “On Consumer Protection”.
An unambiguous notice of withdrawal from the contract is sufficient to exercise this right. The Buyer does not need to explain the reasons for withdrawal or prove that the material has defects.
If the confirmation of information does not meet the legal requirements, the withdrawal period is 90 days from receipt of that information. If the Seller provides corrected confirmation within that period, the Buyer may withdraw from the contract within 14 days of receiving it.
Refunds are made in accordance with clauses 7.5–7.7 of this section.
7.2. Supply of digital content before the withdrawal period ends
The right to withdraw from the contract without giving reasons under clause 7.1 does not apply if all of the following conditions are met:
- Before the digital content was supplied, the Buyer agreed to receive it before the withdrawal period for the distance contract ended.
- The digital content was actually supplied to the Buyer within that period.
- The Buyer was informed, in the confirmation of mandatory information, of the corresponding consequence for the right to withdraw from the contract.
The Seller retains evidence of the consent obtained, the supply of content and the notice given to the Buyer.
Payment, account creation, displaying a link to the offer or starting playback does not in itself replace properly obtaining consent and informing the Buyer.
This exception does not restrict the Buyer's rights in cases of failure to supply content, its lack of conformity with the contract, or an erroneous or duplicate charge.
7.3. Quality of materials, sound characteristics and lack of conformity with the contract
7.3.1. Author-produced audio recordings
Podcasts, lectures, energy practices and other audio materials are author-produced recordings. They may be created outside a professional recording studio, without professional editing or studio sound processing.
The Seller does not guarantee studio-quality sound or the complete absence of extraneous sounds unless expressly stated otherwise in the description of the specific product.
7.3.2. Sound characteristics
Audio recordings may contain nature sounds, environmental background sounds, household sounds, minor microphone noise, echoes, natural volume variations, audible breathing, pauses, repetitions and features of the author's speech.
The existing characteristics of the specific product are disclosed to the Buyer before the contract is concluded, in its description and/or during checkout.
Sound characteristics of which the Buyer was informed in advance and to which the Buyer expressly and clearly agreed do not in themselves constitute a lack of conformity of the material with the contract or an independent ground for a price reduction or refund.
This provision applies only to disclosed and agreed characteristics. It does not cover undisclosed defects, significant sound distortion or other defects that make speech unintelligible or prevent use of the material for its stated purpose.
7.3.3. Author's content and individual expectations
The materials contain the author's views, interpretations, reflections and practices within the subject matter stated in the description of the relevant product.
The Seller does not guarantee particular emotions, sensations, experiences or insights, or the achievement of an individual spiritual, psychological, financial or other personal result.
Disagreement with the author's views, the absence of an expected personal effect, loss of interest in the subject, or dislike of the voice, pace or presentation style do not in themselves indicate a lack of conformity with the contract if the material meets its description and agreed characteristics.
This clause does not release the Seller from specific obligations expressly provided for in the product description and the contract.
Individual consultations, personal support and feedback are provided only where they are expressly included in the purchased product.
These provisions do not restrict the right to withdraw from the contract under clause 7.1 where it applies.
7.3.4. Remedying a lack of conformity
If the material cannot be played for reasons attributable to the Seller, a promised part of the materials is missing, speech is unintelligible because of a recording defect, or there is another lack of conformity with the contract, the Buyer may require it to be remedied free of charge.
The Seller remedies the lack of conformity within a reasonable period after notification by the Buyer, without significant inconvenience to the Buyer, taking into account the nature of the material and the purpose for which it was purchased.
A proportionate price reduction or withdrawal from the contract applies in the cases provided for by law, including where remedying the lack of conformity is impossible, requires disproportionate costs, has not been carried out properly, the lack of conformity has recurred, or it is sufficiently serious to justify immediate use of the corresponding remedy.
To withdraw from a paid contract because of a lack of conformity, that lack of conformity must be material. The Seller bears the burden of proving that the lack of conformity is not material.
Rights arising from a lack of conformity do not expire solely because the 14-day period referred to in clause 7.1 has ended.
7.4. Failure to provide paid Access
If paid Access or digital content has not been provided, the Buyer may require it to be provided.
If, after receiving the request, the Seller fails to supply the content without undue delay or within an additional period expressly agreed by the parties, the Buyer may withdraw from the contract.
A prior request is not necessary in the cases provided for by law, including where the Seller has stated, or it is clear from the circumstances, that the content will not be supplied, or where a supply deadline that was essential to the Buyer has been missed.
A technical failure on the Seller's side does not remove these rights.
7.5. Refund amount
Upon lawful withdrawal under clause 7.1, the full amount of the relevant order is refunded.
Upon withdrawal from the contract because of failure to supply digital content, the payments made for the content that was not supplied are refunded.
Upon withdrawal because of a lack of conformity of digital content, the rules of Article 14 of the Law of Ukraine “On Digital Content and Digital Services” apply.
If the contract provides for the supply of content over a specified period and the content conformed to the contract during part of that period, the amount for the period of non-conformity and the prepaid amount for the remaining period after termination of the contract are refunded.
Where the price is reduced proportionately, the corresponding part of the price is refunded and Access is retained on the agreed terms.
Listening to or viewing the materials does not in itself deprive the Buyer of the right to a refund where a legal ground for a refund exists.
Not using properly provided Access by the Buyer's personal choice, lack of time or loss of interest do not in themselves constitute grounds for a refund after the right to withdraw without giving reasons has ended.
If the Site closes at the Seller's initiative, continued supply of content or a refund is addressed in accordance with the contract terms and the law. For fixed-term Access that can no longer be provided, payment is refunded for the unused remainder of the term and any period of non-supply for which reimbursement is due. For indefinite Access, the refund amount is determined under the applicable legal rules.
Erroneous or duplicate charges are refunded in the amount of the relevant erroneous or duplicate charge.
7.6. How to submit a request
A notice of withdrawal from the contract, failure to provide Access, lack of conformity of the material or an erroneous charge may be sent to the Seller's email address: mariali@theosophymariali.com, or through another contact channel expressly stated on the Site.
To identify the order, the Buyer is encouraged to provide the order number, product name, payment date and email address used for the purchase.
When reporting a technical problem, the Buyer is encouraged to describe it and, where possible, indicate the relevant time in the recording, provide a screenshot or supply other available information.
For verification, the Seller may request reasonably necessary additional information and suggest simple diagnostic steps. Such requests must not create excessive obstacles to the exercise of the Buyer's rights.
The absence of a screenshot, video recording or other optional evidence is not an automatic ground for rejecting a request. Withdrawal under clause 7.1 does not require proof of defects in the material.
7.7. Refund deadlines and consequences of termination
Upon lawful withdrawal under clause 7.1, funds are refunded without undue delay, but no later than 30 days after the Seller receives the withdrawal notice, unless the law provides for a shorter period.
Refunds or proportionate price reductions in the cases provided for by the Law of Ukraine “On Digital Content and Digital Services” are made within a reasonable period, but no later than 14 days after receipt of the relevant request or notice of withdrawal from the contract.
Funds are refunded using the same method and payment instruments used for payment, unless the Buyer and the Seller agree otherwise. The Buyer is not charged a refund processing fee.
After termination of the contract, the Seller may discontinue Access to the materials to which the terminated contract relates. In the case of a partial refund or price reduction, the scope of continued Access is determined by the relevant legal ground and the contract terms.
After withdrawal from the contract, the Buyer stops using the relevant digital content and supplying it to third parties in the cases and to the extent established by law.
No provision of this section restricts the Buyer's mandatory rights under Ukrainian law.
8. Conformity and liability
8.1. The Seller is responsible for supplying content and its conformity with the contract and the law for the applicable period. Failures by hosting providers, payment services or other engaged parties do not automatically justify rejecting the Buyer's lawful claims. The Seller communicates known interruptions, arranges restoration and considers claims under section 7. An extension of Access as compensation does not replace other remedies available to the Buyer.
8.2. Incompatibility of the Buyer's device is assessed with regard to requirements clearly disclosed before payment and statutory rules on the burden of proof. There is no blanket exclusion of liability for all device or browser issues.
8.3. Force majeure is taken into account only where there are legal grounds and a causal connection with the particular breach. Merely invoking such circumstances does not terminate the contract or extinguish obligations that remain under the law.
8.4. The materials express the author's views, are informational and intended for spiritual practice, and are supplied for personal exploration and self-education. They are not medical, psychological or psychotherapeutic care and do not replace professional advice. The Seller does not guarantee that all Buyers will understand the materials in the same way or achieve a particular personal, educational or other outcome. The Buyer independently evaluates the information and decides how to apply it; an individual interpretation does not itself establish a contractual breach by the Seller. This does not exclude liability for misleading product information, non-conforming content, unlawful acts or harm in the circumstances provided by law.
9. Personal data
9.1. Data used for ordering, signing in, providing Access, recording payment and handling requests is processed in accordance with the Privacy Policy and applicable law. Purchasing a Collection does not constitute separate consent to optional promotional communications.
10. Changes, complaints and applicable law
10.1. The Seller may amend the offer, including to comply with legislation, by publishing a new version with its date and identifier. It applies to new orders after publication. Existing contracts remain governed by the version agreed at purchase, except for mandatory changes required by law or changes properly agreed by the parties. The Seller notifies the Buyer by email of changes affecting an existing order; notice and continued use of the Site do not themselves replace consent where it is required. Publishing a new text alone cannot retrospectively shorten a paid period, increase the price, reduce Collection contents or remove an accrued right to a refund.
10.2. Complaints are accepted at mariali@theosophymariali.com. The Seller responds within 14 calendar days unless the law requires a shorter period for a particular claim. This period is not added to the refund deadline.
10.3. The Buyer may contact the State Service of Ukraine on Food Safety and Consumer Protection (Держпродспоживслужба) and/or a competent court. Negotiations are not a mandatory prerequisite. Ukrainian law applies; where mandatory safeguards of another country apply to the relationship, this choice does not deprive the Buyer of those safeguards.
10.4. The offer is available in Ukrainian, Russian and English. In the event of discrepancies, the Ukrainian text prevails, subject to mandatory rules on interpretation of consumer contracts; a translation must not mislead the Buyer about their rights.
